1. Platform Objectives

DeelaMart exists to make buying, selling and delivering everyday goods fast, fair and trustworthy for everyone on the platform. These objectives guide how the Platform is run and how these Terms are applied.

For Customers

  • Provide convenient access to meals, groceries and retail goods from local and national businesses in one place.
  • Show clear prices, fees and delivery estimates before an order is placed.
  • Offer safe payment, reliable order tracking and responsive support.

For Merchants

  • Give restaurants, food vendors, grocery stores and retailers an affordable route to new customers and online sales.
  • Provide transparent commission terms, timely payouts and useful order and sales data.
  • Support merchants in meeting food safety and/or product quality and legal standards.

For Delivery Personnel

  • Offer flexible earning opportunities with clear, fair and prompt pay.
  • Promote safe working practices, respectful treatment and a fair dispute process.

For the Platform and Community

  • Operate a secure, lawful and transparent marketplace that protects personal data and prevents fraud.
  • Support local economies and job creation.
  • Continuously improve service quality, accessibility and sustainability.

2. Definitions and Interpretation

In these Terms, the following words have the meanings below.

  • "DeelaMart", "we", "us": DeelaMart and its affiliates, as the operator of the Platform.
  • "Platform": the DeelaMart websites, mobile applications, APIs and related services.
  • "User": any person who accesses or uses the Platform, including Customers, Merchants and Couriers.
  • "Customer": a person who places an Order through the Platform.
  • "Merchant": a restaurant, food vendor, grocery store, retailer or other business that lists goods or services on the Platform.
  • "Courier": an independent person or business that delivers Orders through the Platform.
  • "Order": a request by a Customer to purchase goods or services from a Merchant, with or without delivery.
  • "Items": goods, food, beverages and other products offered by Merchants.
  • "Fees": service fees, delivery fees, commissions, subscription charges and any other amounts payable under these Terms.
  • "Applicable Law": all laws, regulations, licensing and food safety requirements that apply to a User or to the Platform.

Headings are for convenience only. "Including" means "including without limitation". References to a person include a company or other legal entity.

3. Eligibility and Account Registration

You may use the Platform only if you can form a binding contract under Applicable Law and meet the requirements below.

  1. You must be at least 18 years old (or the age of majority where you live). Customers under 18 may not use the Platform.
  2. You must provide accurate, current and complete information at registration and keep it up to date.
  3. Merchants and Couriers must also complete verification, which may include identity, business registration, licence, permit, vehicle and background checks.
  4. You are responsible for all activity under your account and must keep your login credentials confidential.
  5. You may hold only one account per role unless we agree otherwise. Accounts may not be sold, shared or transferred.
  6. Notify us promptly of any unauthorised use of your account.

We may refuse, suspend or close any registration where we reasonably suspect false information, fraud, legal non-compliance or risk to others.

4. DeelaMart's Role as a Marketplace

DeelaMart is a technology platform that connects Customers, Merchants and Couriers; it is not the seller, preparer or producer of Items, and it does not itself provide delivery services unless expressly stated.

  • Contract of sale. When an Order is accepted, the sale contract is between the Customer and the Merchant. DeelaMart acts as a limited agent for processing payment and facilitating the transaction.
  • Independent parties. Merchants and Couriers are independent businesses or contractors. Nothing in these Terms creates an employment, partnership, joint venture or franchise relationship with DeelaMart.
  • No guarantee of availability. We do not guarantee that the Platform will be uninterrupted or error-free, or that any Merchant, Item or Courier will be available at a given time or place.
  • Third-party content. Menus, descriptions, images, prices and availability are supplied by Merchants. DeelaMart is not responsible for their accuracy except where required by law.
  • Platform control. We may change, suspend or discontinue any feature, service area or Merchant listing at our discretion and in line with Applicable Law.

5. Customer Terms

Ordering and acceptance. An Order is a request to buy and becomes binding only when the Merchant accepts it. Merchants may decline or cancel an Order if Items are unavailable, a delivery address is out of range, or an error is suspected.

Pricing. Prices are set by Merchants and may differ from in-store prices. The total shown at checkout includes Item prices, taxes where applicable, delivery fees, service fees and any tip. Promotions are subject to their stated terms.

Payment. You authorise DeelaMart and its payment providers to charge your chosen payment method for the full Order total. You must have sufficient funds and a valid method. Payment details are processed by secure third-party providers.

Delivery. Delivery times are estimates, not guarantees. You must provide an accurate address and be reachable. If delivery fails because you are unavailable or unresponsive, you may still be charged.

Cancellations. You may cancel before the Merchant begins preparing or packing your Order. After that point, cancellation may not be possible or may carry a fee.

Refunds and issues. If an Order is missing Items, incorrect, damaged, unsafe or materially late, report it through the Platform within 24 hours of delivery with supporting details or photos. We may issue a refund, credit or redelivery at our reasonable discretion, subject to Applicable Law and your statutory rights.

Substitutions. Where an Item is unavailable, a substitution may be offered. You may accept, reject or choose a refund for that Item.

Age-restricted goods. Alcohol, tobacco and other restricted goods may be ordered only by eligible adults and are delivered only after valid age verification. Delivery will be refused and the Order cancelled, without refund of delivery costs, if verification fails.

Tips. Tips go to the Courier in full and are generally non-refundable.

6. Merchant Terms

Onboarding. To list on the Platform, Merchants must supply valid business registration, tax details, food business registration and any licences or permits required for their goods. Merchants must keep these current and notify us of changes or suspensions.

Listings. Merchants are responsible for the accuracy of menus, descriptions, images, allergen and ingredient information, prices and stock levels. Listings must not mislead customers.

Order fulfilment. Merchants must confirm or reject Orders promptly, prepare them accurately, package them safely and have them ready within the stated preparation time. Repeated cancellations, delays or inaccuracies may reduce visibility or lead to suspension.

Compliance and food safety. Merchants must comply with Applicable Law, including hygiene, storage, labelling, allergen, health and safety, and consumer protection requirements. Merchants are solely responsible for the quality and safety of the Items they sell.

Pricing and promotions. Merchants set their own prices. Prices on the Platform must not be unreasonably higher than offered through other channels without a clear explanation. Merchant-funded promotions must be honoured.

Customer data. Merchants may use Customer data only to fulfil Orders and as permitted by law. Marketing use requires the Customer's consent.

Ratings. DeelaMart may use ratings, cancellation rates and complaint data to rank, feature or restrict Merchants.

Insurance. Merchants should maintain adequate product liability and public liability insurance for their business.

7. Delivery Personnel Terms

Independent status. Couriers act as independent contractors. They choose when and whether to be available, may accept or decline requests, and may work on other platforms, subject to these Terms. They are responsible for their own taxes, equipment and expenses unless law provides otherwise.

Requirements. Couriers must hold a valid identity document, the right to work or operate in their area, a valid driver's licence where applicable, and roadworthy, properly registered and insured transport. Couriers must pass screening checks permitted by law and maintain valid insurance.

Conduct and safety. Couriers must obey all traffic and safety laws, treat Customers, Merchants and others with respect, and never deliver under the influence of alcohol or drugs. Couriers should not take unsafe risks to meet delivery times.

Handling of goods. Couriers must collect Orders promptly, use insulated or appropriate bags for food, keep Items sealed and uncontaminated, and deliver only to the intended recipient. Couriers must not open, tamper with, consume or divert Orders.

Verification. Couriers must check identification for age-restricted Orders and refuse delivery if the recipient is ineligible.

Earnings. Delivery earnings and any incentives are shown in the Courier application and paid on the stated schedule, less any lawful deductions. Tips are paid in full.

Location and data. Couriers consent to location tracking while online to enable matching, navigation, safety and fraud prevention.

8. Fees, Commissions, Payments and Payouts

Customer fees. DeelaMart may charge service fees, delivery fees, small-order fees and surge charges. These are displayed before the Order is placed.

Merchant commission. Merchants pay DeelaMart a commission on each completed Order, plus any applicable payment processing fee, as set out in the Merchant agreement or dashboard. We will give reasonable notice of changes to commission rates.

Courier fees. Courier earnings are calculated using factors such as distance, time, demand and Order type, as shown in the Courier application.

Taxes. Each User is responsible for the taxes that apply to them. DeelaMart will collect and remit taxes where required by law.

Payouts. DeelaMart will pay Merchants and Couriers on the published payout schedule after deducting commissions, fees, refunds, chargebacks and any lawful set-offs. Payouts may be delayed for verification, fraud review or legal reasons.

Refunds and chargebacks. Where a refund or chargeback is caused by a Merchant's or Courier's fault, DeelaMart may recover the amount from that User's payouts or by other lawful means.

Errors. We may correct billing or payout errors at any time and will notify affected Users.

9. Prohibited Conduct

You must not, and must not help others to:

  • Provide false information, impersonate others, or create fake or duplicate accounts.
  • Commit fraud, including false refund claims, payment fraud, fake orders, rating manipulation or promotion abuse.
  • Circumvent the Platform by diverting Customers or Merchants to complete transactions off-platform to avoid Fees.
  • List, order or deliver illegal, counterfeit, stolen, dangerous or prohibited items.
  • Harass, threaten, discriminate against or physically or verbally abuse any person.
  • Tamper with Orders, including contaminating, opening or substituting Items.
  • Interfere with the Platform, including by scraping, reverse engineering, probing for vulnerabilities, or introducing malware.
  • Use the Platform in breach of Applicable Law, sanctions or export controls.

We may investigate violations, remove content, withhold payments connected to fraud, and report unlawful activity to authorities.

10. Food Safety, Product Quality and Allergens

  • Merchants are responsible for food hygiene, correct storage and handling, accurate labelling, and compliance with food safety law.
  • Merchants must disclose allergens and ingredients accurately. Customers with allergies or dietary needs should contact the Merchant directly before ordering. DeelaMart cannot guarantee allergen-free preparation.
  • Items must be fit for sale, within date, and accurately described. Perishable and hot items must be kept at safe temperatures during preparation and handoff.
  • Customers should report suspected food-borne illness, contamination or unsafe Items promptly. We may suspend the Merchant while we investigate and may share relevant information with health authorities.
  • Where a product is recalled, the Merchant must remove it from sale immediately and notify us. We may notify affected Customers.
  • Restricted goods, including alcohol, tobacco, pharmaceuticals and regulated items, may be sold only by Merchants holding the necessary licences and in compliance with law.

11. Intellectual Property and Licence

Our rights. The Platform, including its software, design, trademarks, logos and content created by DeelaMart, is owned by DeelaMart or its licensors and protected by intellectual property law. All rights not expressly granted are reserved.

Your licence. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose in line with these Terms.

Merchant content. Merchants retain ownership of their names, logos, menus, images and descriptions. Merchants grant DeelaMart a worldwide, non-exclusive, royalty-free licence to use, display, reproduce and promote that content in connection with operating and marketing the Platform.

Restrictions. You may not copy, modify, distribute, sell or create derivative works from the Platform, or use DeelaMart marks without our written permission.

Infringement. If you believe content on the Platform infringes your rights, contact us using the details in section 18 and we will review it promptly.

12. Privacy and Data Protection

We handle personal data in line with our Privacy Policy and Applicable Law on data protection.

  • Data we collect. Account and contact details, delivery addresses, Order history, payment tokens, device and usage data, location data (for Customers and Couriers when using the app), and identity and verification documents for Merchants and Couriers.
  • Why we use it. To provide and improve the Platform, process Orders and payments, enable delivery, verify identity, prevent fraud, provide support, meet legal obligations and, with consent where required, send marketing.
  • Who we share it with. Merchants and Couriers (only what they need to fulfil an Order), payment processors, service providers, professional advisers, and authorities where legally required.
  • Security. We use appropriate technical and organisational measures to protect personal data, but no system is completely secure.
  • Your rights. Depending on where you live, you may have rights to access, correct, delete, restrict or port your data, to object to certain processing and to withdraw consent. Contact us to exercise them.
  • Retention. We keep data only as long as needed for the purposes above or as required by law.

Merchants and Couriers must handle Customer data lawfully and only for fulfilling Orders.

13. Reviews, Ratings and User Content

Users may post reviews, ratings, photos and comments. Content must be honest, based on genuine experience, lawful, and free from hate speech, harassment, personal data of others, and spam or paid endorsements not clearly disclosed.

You keep ownership of your content but grant DeelaMart a worldwide, non-exclusive, royalty-free licence to use, display and distribute it on and in connection with the Platform. We may moderate, remove or decline to publish content that breaches these Terms, and are not obliged to monitor all content. Ratings may affect a Merchant's or Courier's standing on the Platform.

14. Disclaimers and Limitation of Liability

As-is service. To the fullest extent permitted by law, the Platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and uninterrupted operation.

Third-party responsibility. DeelaMart is not liable for the acts or omissions of Merchants or Couriers, or for the quality, safety, legality or accuracy of Items, except where required by law.

Exclusions. To the extent permitted by law, DeelaMart is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill.

Cap. To the extent permitted by law, DeelaMart's total liability to you for any claim arising from the Platform is limited to the greater of the amount you paid or received through the affected Order or [₦100,000].

Non-excludable rights. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded, including mandatory consumer rights.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless DeelaMart, its affiliates, officers, employees and agents from claims, losses, damages, fines and reasonable legal costs arising from your breach of these Terms, your breach of Applicable Law, your content, or, for Merchants and Couriers, the Items you sell or the services you perform. DeelaMart will notify you promptly of any claim and give reasonable cooperation at your expense.

16. Suspension and Termination

By you. You may close your account at any time through the Platform, subject to completing any pending Orders and paying amounts owed.

By us. We may suspend, restrict or terminate your access, with notice where reasonably practicable, if you breach these Terms, create risk or harm to others, act fraudulently or unlawfully, fail verification, or if required by law. We may act immediately where there is serious risk or illegality.

Effect. On termination, your right to use the Platform ends. Amounts due remain payable, and we may withhold payouts to the extent needed to cover liabilities.

Survival. Sections on payments, intellectual property, privacy, disclaimers, liability, indemnification, dispute resolution and any provision intended to survive remain in effect after termination.

17. Dispute Resolution and Governing Law

  1. Complaints first. Raise any concern through in-app support or the contact details below. We aim to acknowledge complaints within 2 business days and resolve them within 14 days.
  2. Informal resolution. If a dispute is not resolved, the parties will try in good faith to settle it by negotiation or mediation for at least 30 days.
  3. Courts or arbitration. Any unresolved dispute arising out of or relating to these Terms or the use of the DeelaMart Platform shall be subject to the exclusive jurisdiction of the courts of the Federal Republic of Nigeria, with the appropriate court having jurisdiction over the matter.
  4. Governing law. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts of Nigeria.
  5. Consumer rights. Nothing in this section limits mandatory consumer rights to bring claims in the courts of the country where the consumer lives.

Claims must be brought individually and not as part of a class or representative action, to the extent permitted by law.

18. General Provisions, Changes to Terms and Contact

  • Changes. We may update these Terms. We will give reasonable notice of material changes through the Platform or by email. Continued use after the effective date means you accept the updated Terms.
  • Entire agreement. These Terms, with the Privacy Policy and any role-specific agreements, form the whole agreement between you and DeelaMart. Role-specific agreements prevail on conflict for that role.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Failure to enforce a right is not a waiver of it.
  • Assignment. You may not assign your rights without our consent. We may assign ours to an affiliate or successor.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, strikes, outages, war or government action.
  • Notices. We may give notice by email, in-app message or posting on the Platform.
